Real Estate Purchases and Sales At S&R a significant portion of our practice involves representation of both sellers and buyers of improved, commercial and multi-family residential real estate. Our involvement begins at the most preliminary stage, providing assistance in formulating, evaluating and documenting the offer and counteroffer. Once an offer has been accepted, we are involved in all aspects of due diligence, dealing directly or through contractors in assessing the feasibility of the transaction. This analysis includes title and survey issues; physical inspection; environmental, zoning and other land use issues; escrow matters; evaluation of existing leases; and assisting in obtaining new financing, or the assumption of existing financing. If the due diligence examination is successfully completed, we assist in completing associated documentation, closing the transaction and structuring ongoing operations. We also represent high net worth individuals, largely in the entertainment industry, in the purchase and sale of high-end residential housing. Such transactions often compete with commercial transactions in complexity, given the high level of disclosure required under California law, as well as the sophistication of subsidence, hillside and permitting issues. |
